This Sale Purchase Contract of Indonesian Steam Coal is made on 13RD of OCT 2010 (“Agreement”) by and between:
本印度尼西亚动力煤购销合同于2010年10月13日由下述双方签订： 1. （hereinafter referred to as “the Seller”）, a company incorporated in Hong Kong with its registered office at Hong Kong.
公司（以下简称“卖方”），一个在香港成立的公司，注册地在香港 ；
2. （hereinafter referred to as “the Buyer”）, a company incorporated in China with its registered office at , , .
有限公司（以上简称“买方”）一个在中国成立的公司，注册地在 。 Both the Seller and the Buyer may individually be referred to as “Party” or collectively as the “Parties”.
买卖双方可以分别被称作“各方”或一起指“双方”。
Whereas: 鉴于：
1) The Seller and the Buyer have agreed to enter into this SALES AND PURCHASE CONTRACT OF INDONESIA STEAM COAL (as hereinafter defined) subject to the terms
and conditions herein contained.
卖方和买方同意签订本合同，据此，卖方将根据买方按本文所载条款及条件供应动力煤（定义见下文）。 2) Terms of Contract合同条款
The Parties hereby agree that this Contract shall become effective on the date of this Contract and shall continue in effect for a period of ONE (1) year; shall automatically expire unless renewed or extended in writing; shall continue for a period and/or to be mutually agreed by the Parties and/or terminated in accordance with the terms of this Contract.
双方在此同意，本合同应在签订之日起生效,并应继续本合同的有效期为一（1）年，除非更新或书面通知延长，否则本合同将自动失效；本合同有效期间，如双方商定和/或由双方需根据本合同条款以终止。
3) The Seller and the Buyer both confirm with full responsibility that they have the corpora
te authority to sign this Contract.

DEFINITIONS定义
In this Contract, unless the subject or context otherwise requires, the following words and expressions will have the following meanings respectively ascribed to them:
在本合同中，除非所述事项或文意另有所指，下列词语将它们分别归于以下涵义：
1) Metric Ton: A measure of weight equivalent to one thousand kilograms (1,000 kg)
公吨： 重量的度量单位,相当于一千公斤物体重量。
漂泊者萧红2) Bill of Lading：The official document, issued at the loading port after completion of the
loading operations, which state the amount loaded, expressed in Metric Tons (MT). This original document has to be signed by the ship’s Master and made out in accordance with the instructions hereinafter specified in the Contract.
提单： 在装货港装货完成后,装货港签发的正式文件,记录着受载数量, 以公吨计量。该文件正本必须由船长签署, 并必须以合同中的指示为依据。
3) Loading Port：Port of Indonesia where the vessel anchoring at/or such other port as the parties may agree to in writing.
装货港： 指船只停泊的印度尼西亚港口, 或经双方书面同意的其他港口。
4) Discharge Port：The safe port/berth designated by the Buyer as final receiving destination.
卸货港： 买方指定的安全港口/泊位作为最终的目的港。
5) CIF ：Cost, Insurance and Freight strictly as referred to in the interpretations defined by the INCOTERMS Edition 2000 with latest amendments.
严格依据“国际商会国际贸易术语解释通则”2000最新版定义所指的成本+运费+保险
6) CCIC ：CCIC INDONESIA PTE LTD. 指中国检验认证集团之成员公司。
7) ADB ：Air Dried Basis. 指空气干燥基基准。
8) ARB ：As Received Basis指收到基基准。
9) GCV ：Gross Calorific Value指总热值。
10) NCV ：Net Calorific Value (As Received Basis) 指低位收到基基准（收到基净值）。
11) Cargo ： Means coal to be transported. 指装运的煤。
12) Coal ： Steam coal exploited by the Seller from Indonesia.指卖方开采的印度尼西亚动力煤。
13) kcal/kg ： Kilocalories of energy per kilogram of coal. 指每千克煤炭的发热量 (千卡)。
CLAUSE 1 COMMODITY 第一条米奇的甜心屋 商品
1.1. Commodity: Steam Coal, Net Calorific Value (As Received Basis) 5500kcal/kg.
商品名称：动力煤，低位收到基发热量5500Kcal/kg。
1.2. 天体营Country of Origin: Kalimantan, Indonesia.
原产地：印度尼西亚位于加里曼丹的煤矿。
1.3. Loading port: Tanjung Pemancingan port, South Kalimantan, Indonesia.
装货港：印度尼西亚南加里曼丹Tanjung Pemancingan港。
1.4. Discharge port: Rizhao of Shandong Province, China
沉沦堕落
卸货港：中国山东日照港。
CLAUSE 2 QUANTITY 第二条 数量
2.1. The Seller shall sell and ship and the Buyer shall purchase and accept 40000 MT (±10%) per month of Coal at the Buyer’s option. But total quantity is not less then 600,000MT one year.
买卖双方接受每月300000吨（±10%）的煤炭数量或由买方决定。但年交货总量不低于360万吨。
2.2. The first trial shipment of 50,000MT (±10%) shall be shipped within 30 days after L/C issued.
第一票5万吨试单交货应在信用证开出后30天内装运。
2.3. From the 2nd shipments of 300,000MT (±10%) per month of Coal at the Buyer’s option shall be shipped within 30 days after the L/C issued.
