Preamble.
This Regional Agent Third-Party Agent Contracting Template (the "Template") is intended to be used as a starting point for drafting a comprehensive contracting agreement between a regional agent and a third-party agent. The Template is designed to provide a framework for the parties to negotiate and document their respective rights and obligations in connection with the third-party agent's provision of services to the regional agent.
Article I. Definitions.
The following terms shall have the meanings set forth below throughout this Template:
"Agreement" means this Regional Agent Third-Party Agent Contracting Template, including
any exhibits, schedules, or attachments thereto.
"Confidential Information" means any and all information disclosed by one party to the other party, whether orally or in writing, that is designated as confidential or that reasonably should be considered confidential under the circumstances.
"Force Majeure Event" means any event or circumstance beyond the reasonable control of a party, including, but not limited to, acts of God, war, terrorism, riots, strikes, lockouts, or other industrial disturbances, natural disasters, epidemics, or pandemics.
"Intellectual Property" means any and all patents, copyrights, trademarks, trade secrets, know-how, and other intellectual property rights.
"Party" means either the Regional Agent or the Third-Party Agent.
"Region" means the geographic territory within which the Third-Party Agent is authorized to provide services on behalf of the Regional Agent.
