Voluntary Donation Agreement

This agreement is made and entered into on (date) by and

between (donor's name, address, and phone number) hereinafter

referred to as "Donor" and (donee's name, address, and phone

number) hereinafter referred to as "Donee".

WHEREAS, Donor desires to make a voluntary donation to

Donee for the purpose of (the purpose of the donation);

WHEREAS, Donee accepts the voluntary donation under the

terms and conditions set forth in this agreement;

NOW, THEREFORE, the parties agree as follows:

1. Donor represents and warrants that he/she is the sole

owner of the property being donated.

2. Donor shall immediately transfer title and possession of

the property being donated to Donee upon execution of this

agreement.

3. Donee agrees to use the donated property strictly for (the

purpose of the donation).

4. This agreement shall remain valid for (number of years or

perpetuity).

5. Either party may terminate this agreement only by giving

written notice to the other party at least (number of days) days

prior to the desired termination date.

6. Donor represents and warrants that he/she has the

authority to make this donation and that the donation is not being

made under any duress or undue influence.

7. This agreement shall be governed by and construed in

accordance with the laws of the People's Republic of China.

8. All disputes arising out of or related to this agreement

shall be resolved through arbitration in accordance with the rules

of the China International Economic and Trade Arbitration

Commission.

9. This agreement contains the entire understanding of the

parties hereto and supersedes all prior negotiations,

understandings, and agreements between them.

10. This agreement may be executed in counterparts, each of

which shall be deemed an original, but all of which together shall

constitute one and the same instrument.

11. This agreement shall be binding upon and inure to the

benefit of the parties hereto and their respective heirs, legal

representatives, successors, and assigns.

IN WITNESS WHEREOF, the parties have executed this

agreement as of the date first written above.
