Refund Agreement Template

This Refund Agreement ("Agreement") is entered into on

[Date] by and between:

[Party A Name and Address] (hereafter "Party A"); and

[Party B Name and Address] (hereafter "Party B").

Whereas, Party A has paid Party B a sum of money for goods

or services which were either not provided or not provided to the

satisfaction of Party A; and

Whereas, the parties mutually desire to resolve this matter

by entering into this Agreement.

Therefore, in consideration of the mutual promises and

covenants exchanged herein, the parties agree as follows:

1. Identity of Parties:

2. Scope of Agreement:

This Agreement applies to the refund of the sum of money

paid by Party A to Party B.

3. Rights and Obligations of the Parties:

a. Party B agrees to refund the sum of money paid by Party A

within [Number of days] days of the execution of this Agreement.

b. Party A agrees to return any goods, if applicable, related to

the transaction to Party B within [Number of days] days of the

execution of this Agreement.

c. Party A warrants that any goods returned to Party B are in

the condition they were provided in or received by Party A.

d. Party B agrees to pay all costs associated with the refund,

including but not limited to, any bank fees or processing fees.

4. Compliance with Law:

The parties acknowledge and agree to comply with all

applicable laws and regulations regarding the transaction and this

Agreement.

5. Effectiveness and Enforcement:

This Agreement is binding upon and enforceable against the

parties and their respective successors, assigns, and legal

representatives.

6. Governing Law:

This Agreement shall be governed by and construed in

accordance with the laws of the People's Republic of China.

7. Entire Agreement:

This Agreement contains the entire understanding between

the parties and supersedes any prior or contemporaneous

agreements or understandings, whether written or oral. This

Agreement may not be modified or amended except in writing

signed by both parties.

8. Severability:

If any provision of this Agreement is held invalid or

unenforceable by a court of competent jurisdiction, the

remainder of this Agreement shall remain in full force and effect.

9. Termination:

This Agreement shall terminate and have no further force or

effect upon execution and fulfillment of its terms.

10. Counterparts:

This Agreement may be executed in counterparts, each of

which shall be deemed an original but all of which together shall

constitute one and the same instrument.

11. Exclusive Jurisdiction:

The parties agree to submit to the exclusive jurisdiction of

the courts of the People's Republic of China for the purpose of

any dispute arising out of or relating to this Agreement.
