Sales Contract

This Sales Contract (the "Contract") is made and entered into

effective as of the date of signing by and between:

The Seller agrees to sell and the Buyer agrees to purchase

the following products (the "Products"), subject to the terms and

conditions set forth herein:

1. Representations and Warranties of the Seller: The Seller

represents and warrants that:

(a) The Products are free from any liens, claims, or

encumbrances;

(b) The Products are not counterfeit or stolen;

(c) The Products are of good quality, and are fit for the

purpose intended;

(d) The Products comply with all applicable laws, regulations,

standards, and requirements in China.

2. Representations and Warranties of the Buyer: The Buyer

represents and warrants that:

(a) The Buyer is legally authorized to enter into this Contract,

and has the power and authority to fulfill the obligations set forth

herein;

(b) The execution and performance of this Contract will not

violate any applicable laws or regulations, or breach any

obligations to any third party;

(c) The Buyer will be responsible for all customs duties, taxes,

and other charges that may be incurred as a result of importing

the Products.

3. Delivery, Inspection, and Acceptance:

(a) The Products will be delivered by the Seller to the Buyer

at the location specified in the Contract;

(b) The Buyer shall promptly inspect the Products upon

receipt, and shall notify the Seller of any deficiencies or

non-conformities discovered;

(c) If the Buyer fails to inspect the Products or notify the

Seller of any deficiencies within [insert number of days] days after

delivery, the Buyer shall be deemed to have accepted the

Products.

4. Payment:

(a) The Buyer shall pay the Seller the price set forth in the

Contract, in accordance with the payment terms specified therein;

(b) Payment shall be made in [insert currency type].

5. Indemnification:

(a) The Seller shall indemnify and hold harmless the Buyer

from any claims, damages, and expenses (including reasonable

attorneys' fees) arising from any breach of this Contract by the

Seller, or any defect or non-conformity in the Products;

(b) The Buyer shall indemnify and hold harmless the Seller

from any claims, damages, and expenses (including reasonable

attorneys' fees) arising from any breach of this Contract by the

Buyer, or any misuse or alteration of the Products by the Buyer.

6. Governing Law:

This Contract shall be governed by and construed in

accordance with the laws of the People's Republic of China.

7. Dispute Resolution:

Any dispute arising from or in connection with this Contract

shall be resolved through friendly negotiation. If such dispute

cannot be resolved through negotiation, the Parties may submit

the dispute to arbitration in accordance with the rules of the

China International Economic and Trade Arbitration Commission.

8. Entire Agreement:

This Contract contains the entire agreement of the Parties

and supersedes all prior negotiations, representations, and

agreements between them, whether oral or written.

9. Amendment:

This Contract may only be amended by written agreement of

both Parties.

10. Binding Effect:

This Contract shall be binding upon and inure to the benefit

of the Parties and their respective successors and assigns.

11. Severability:

If any provision of this Contract is held to be invalid, illegal, or

unenforceable, the validity, legality, and enforceability of the

remaining provisions shall not in any way be affected or impaired.

12. Counterparts:

This Contract may be executed in counterparts, each of

which shall be deemed an original and all of which together shall

constitute one and the same agreement.

IN WITNESS WHEREOF, the Parties have executed this
