Company and Hotel Agreement

This Company and Hotel Agreement (the "Agreement") is

made and entered into by and between the undersigned company

("Company") and [Hotel Name] ("Hotel"), with a principal place of

1. Identification of the Parties

2. Purpose of the Agreement

conditions under which the Company shall use the Hotel for

3. Rights and Obligations of the Company

a. The Company shall pay for all services provided by the

Hotel in accordance with the agreed upon rate.

b. The Company shall comply with all applicable laws and

regulations of the People's Republic of China.

c. The Company shall provide the Hotel with all necessary

information and documentation in a timely and accurate manner.

d. The Company shall only use the Hotel for legitimate

business purposes.

e. The Company shall abide by all Hotel policies and

procedures.

4. Rights and Obligations of the Hotel

a. The Hotel shall provide the Company with the agreed upon

services.

b. The Hotel shall comply with all applicable laws and

regulations of the People's Republic of China.

c. The Hotel shall maintain the confidentiality of all

information provided by the Company.

d. The Hotel shall provide the Company with a safe and

secure environment.

e. The Hotel shall allow the Company to use its facilities and

services in accordance with the terms of this Agreement.

5. Payment Terms and Conditions

a. The Company shall pay the Hotel for all services provided

in accordance with the agreed upon rate.

b. Payment shall be made in a timely manner, as agreed

upon by the parties.

c. In the event of a dispute over payment, the parties shall

attempt to resolve the dispute through negotiation and/or

mediation.

6. Term and Termination

a. This Agreement shall commence on [Start Date] and shall

continue for a period of [Term Length] months, unless terminated

earlier.

b. Either party may terminate this Agreement upon [Notice

Period] written notice to the other party.

c. Termination of this Agreement shall not relieve the parties

of their obligations accrued prior to termination.

7. Confidentiality

information shared between them.

b. The parties shall not disclose any information to any third

party without the express written consent of the other party.

c. The obligations in this section shall survive the termination

of this Agreement.

8. Governing Law and Dispute Resolution

accordance with the laws of the People's Republic of China.

b. In the event of any dispute arising out of or related to this

Agreement, the parties shall attempt to resolve the dispute

through negotiation and/or mediation.

c. Any unresolved dispute shall be submitted to the

competent court in accordance with the laws of the People's

Republic of China.

9. Entire Agreement

a. This Agreement represents the entire understanding

between the parties and supersedes all prior negotiations and

agreements, whether written or oral.

b. Any modifications to this Agreement must be in writing

and signed by both parties.

c. This Agreement shall be binding upon and inure to the

benefit of the parties hereto and their respective successors and

assigns.

10. Counterparts

This Agreement may be executed in counterparts, each of

which when executed shall be deemed an original but all of which

together shall constitute one and the same instrument.

11. Effective Date

This Agreement shall become effective as of the date first

written above.
