根据《中华人民共和国合同法》、《中华人民共和国反不正当竞争法》及有关规定，甲、乙双方在遵循诚实信用、平等自愿的原则下，在乙方任职期间及离职后，经协商就甲方公司薪酬体系保密事项达成协议条款如下：

In accordance with the Contract Law of the People’s Republic of China, the

Anti-unfair Competition Law of the People’s Republic of China and relevant laws

and regulations, both parties shall abide by the principle of good faith, equality and

voluntariness to reach a Salary Confidentiality Agreement during party B’s tenure and

after leaving, the terms of the agreement are as follows:

一、甲方的工资薪酬体系设置属于甲方公司的管理信息内容之一属于甲方公司的商业秘密,甲方有权采取措施防范薪资泄密。

Item 1 The setting of salary system is part of Party A’s operations and business

confidentiality. And Party A has the right to take effective measures to prevent

leakage of salary details.

二、乙方必须严格遵守甲方的保密制度，不得刺探他人的工资薪酬福利待遇，不得泄露自己的工作待遇等情况；非本人原因知悉他人情况者，应及时向甲方主管报告，并采取有效措施防止泄密进一步扩大，不得传播、散布、比对。

Item 2 Party B shall strictly comply with Party A’s salary confidential requirements,

shall not spy out and enquire of other international teachers’ salary and shall

not disclose Party B’s salary to other international teachers. Party B shall

inform Party A of the disclosure of others’ salary if Party B unintentionally

knows it, and shall take remedial measures to prevent the continued

expansion of the disclosure, prohibiting transmission, spread and

comparison.

三、保密期限

Item 3 Confidentiality Period

双方解除或终止劳动合同后，依照诚实信用原则，乙方应从与甲方建立劳动关系之日起（包括试用期内），无限期保守甲方之商业秘密

In compliance with equality, voluntariness, consensus and under the

principles of good faith, Party B shall indefinitely keep Party A’s salary

confidential from the date of labor relations (including internship).

四、违约责任：

Item 4 Liability for Breach

4.1乙方以间接或直接的个人或组织违反本协议第二条，第三条所约定的保密义

务，并向甲方支付由于违约行为而照成的经济损失，该损失包括：直接损失、潜在损失以及人为主张权利而支付的费用等。

4.1 If Party B breaches either directly or indirectly the obligations of Item 2 and Item 3

in this agreement, Party B shall pay Party A the economic loss caused by his or her

default, these losses shall include: direct losses, potential losses and any and all

expenses caused by the breach.

4.2在劳动合同期限内，乙方违反本协议约定或有关法律规定，除了乙方应承担的责任，甲方有权降薪或无条件终止合同

4.2 If Party B breaks Chinese laws or this salary confidentiality agreement in term of

the labor contract between Party A and Party B, in addition to assumption of the

responsibilities by Party B, Party A has the right to decrease Party B’s salary or even

unconditionally terminate the labor contract with Party B

五、争议解决

e Resolution

因履行本协议而发生纠纷，可以由双方协商解决。协商不成时，提交甲方所在地人民法院处理。

If there is a dispute on the implementation of this agreement, Party A and Party B shall

settle the dispute through friendly consultations; If these negotiations fail then

resolution shall be determined by the local people's court in the area of the company.

六、本协议本一式两份，甲、乙双方各执一份，具有同等法律效力。

Item 6 This agreement shall be held in two copies of the same form. Each party shall

preserve one copy with equal legal effect.
