涉外租赁协议

(Lease Agreement)

租赁协议(Lease Agreement/tenancy agreement/rental

agreement),也称租赁合同(Lease Contract),租赁的对象包括不动产、动产等,而不动产租赁又包括住宅租赁和商铺租赁。本节将主要围绕不动产租赁展开。

无论对于住宅租赁还是商铺租赁,都会涉及以下条款:租赁标的、租期、租金、水电费与物业费的承担、押金、维护与维修等。

一、租赁标的(Subject Matter of Leasing)

范例一:

Party A hereby agrees to lease its property located

at______in good andtenantable condition to Party B for

residential use.

The leased property shall be used by Part B for residential

purpose.

参考译文:

甲方同意将其所有的位于_____________的房屋在良好及可租赁的状态下租给乙方为居住使用。

乙方应将出租房屋用作住宅用房。

范例二:

The premises to be leased is a shop locatedat_________(the“Premises”),with an area of_____square meters.

参考译文:

拟租赁物业(“物业”)是位于_________的商铺。房屋面积为______平方米。

范例三:

Party A will lease to Party B the premises and attached

facilities owned byitself which is located at_________and they

must be in good condition forconducting business.

The registered size of the leased premises

is_________square meters(grosssize).

参考译文:

甲方将其所有的位于_________的房屋及其附属设施在良好的可经营商业的状态下出租给乙方使用。

出租房屋的登记面积为_____平方米(建筑面积)。

二、租金(Rental)

范例一:

The rental will be_____RMB per B will pay the

rental to Party Ain the form of remittance.

参考译文:

双方商定租金为每月_____元整。乙方以汇款的形式支付给甲方。

范例二:

Payment of rental will be paid in monthly

first installmentwill be paid before_____(date).Each

successive installment will be paidbefore_____(date)each

B will pay the rental before using thepremises and

attached facilities,and Party A will issue a written receipt

afterreceiving the payment.

参考译文:

租金按月分期支付。第一期租金于_____(日期)以前付清;以后每期租金于每月的_____日以前缴纳。乙方先付后住,甲方收到租金后予书面签收。

范例三:

The rent for the leased property as agreed to by both

parties is RMB_____Yuan per month,excluding property

management fee and unities suchas water,electricity,gas etc.

参考译文:

双方谈定的租赁物业租金为每月_____人民币,租金不包括物业

费和公用设施费,如水费、电费、燃气费等。

范例四:

During the term of tenancy,Party B is responsible for

paying the chargesin relation to water,electricity,gas,telephone charges on the basis of theactual consumption thereof

by Party charges shall be paid when dueaccording to the

invoice received by Party B from the management companyor

relevant authority every month.

参考译文:

乙方应承担租赁期内实际使用而产生的水、电、液化气费、电话费,并按月自行如期交纳所属管理公司或有关机构。

范例五:

Utility Fee:The Tenant shall pay the utility fee,including

withoutlimitation Water,Electricity,Telecommunications and

Air Conditioning thatoccurs in the shop.

参考译文:

公用事业费:租赁期内,该店铺产生的公用事业费,包括但不限于水、电、通讯及空调费用等均由乙方承担。

范例六:

In case the late payment is more than 10 working days,

Party B will pay0.5 percent of monthly rental as overdue fine

every day;if the rental is 15days overdue,party B will be deemed

that it has quitted the leaseautomatically and therefore

constitutes a material breach the thiscase,Party

A has the right to pursue the liabilities of Party B.

参考译文:

如乙方逾期支付租金超过十个工作日,则每天以月租金的0.5%支付滞纳金;如乙方逾期支付租金超过十五天,则视为乙方自动退租,构成重大违约,甲方有权收回房屋,并追究乙方违约责任。

三、租期(Term of Lease)

范例一:

四、押金(Security Deposit)

范例一:

In order to guarantee the safety and good conditions of the

premises andattached facilities and account of relevant fees

are settled on schedule duringthe lease term,party B will

pay_____RMB to party A as a deposit before_____(date)。Party

A will issue a written receipt after receiving the deposit.

参考译文:

为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于_____(日期)前支付给甲方押金_____元整。甲方在收到押金后予以书面签收。

范例二:

To ensure the protection and good condition of the leased

property andthe related facilities as well as the prompt

payment and settlement of allrelated charges during the term

of tenancy,Party B agrees to pay to Party Awithin 10 days of

the execution of this agreement a security of RMB_____forParty

B's obligations hereunder.

参考译文:

为确保出租房屋及其设施之安全并完好及租赁期内相关费用之如期结算,乙方同意于签订合同10天内支付给甲方租赁押金计人民币_____作为乙方确保合同履行之保证金。

范例三:

In case party B breaches this contract,party A has right

to deduct thedefault fine,compensation for damage or any other

expenses from case the deposit is not sufficient

to cover such items,Party B shallmake up the insufficiency

within ten days after receiving the written notice ofpayment

from Party A.

参考译文:

因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其他相关费用,甲方可在押金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。

范例四:

Unless otherwise provided for by this contract,Party A will

return fullamount of the deposit without interest on the day

when this contractexpires,and Party B has cleared the premises

and paid all due rental andother expenses.

参考译文:

除合同另有约定外,甲方应于租赁关系解除且乙方腾退房屋并付清所有应付费用后的当天将押金全额无息退还乙方。

五、维护与维修(Maintenance&Repair)

范例一:

In case the premise and attached facilities are damaged by

qualityproblems,natural loss,force majeure or accidents,

Party A will beresponsible for repair and bearing the relevant

Party A can’trepair the damaged facilities within

two weeks which influences Party B'snormal use of the

facilities,Party B has the right to terminate the contractand

ask for return of the deposit.

参考译文:

房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。

范例二:

Tenant shall not make any alteration,addition,expansion,orimprovement to the Property without first obtaining

Landlord's writtenconsent.

参考译文:

未经房东书面同意,承租人不得对房屋进行任何改动、增添、扩建或改进。

范例三:

Party B shall treat the leased property with as a

result of Party B'snegligence or misconduct,the leased

property and the related facilities andaccessories suffer any

damage(except for fair wear and tear),Party B shallbe liable

to Party A for the damages.

参考译文:

乙方应爱护使用出租房屋,如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外),乙方应负赔偿责任。

范例四:

Party B shall use the leased property legally as agreed in

this Agreementand may not change such use arbitrarily,nor store

any dangerous items inthe leased property which are prohibited

by the laws of the People's Republicof case any damage

occurs,Party B shall be liable for any damagesor losses

resulted therefrom.

参考译文:

乙方应按本合同的约定合法使用出租房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。
